When your Wyoming LLC is dissolved, you can reinstate or revive your company any time during the following two years. After two years have passed, your Wyoming LLC cannot be reinstated, and you must form an entirely new LLC.

Steps to Reinstate a Wyoming LLC

Go to the Wyoming Secretary of State Website
To reinstate a Wyoming LLC you must visit the Secretary of State website reinstatment page.
You will need your Business Filing ID Number, which is issued to you when you first form your Wyoming LLC. If you have forgotten your ID Number, you can do a Business Name Search and find it.
When you enter your ID Number, an LLC Application for Certificate of Reinstatement will automatically be generated. You must fill out the document completely.

Appoint a New Wyoming Registered Agent
You cannot reinstate a Wyoming LLC without appointing a registered agent.
If you are changing your Wyoming registered agent, you must file a Change by Entity form, which must be accompanied by a Consent to Appointment by Registered Agent form. The Consent to Appointment is filled out by your registered agent and sent to you.
You are not required to change registered agents unless your LLC was dissolved by the Secretary of State for not maintaining a registered agent.

Gather Your Back Annual Reports
The Wyoming Secretary of State requires you to file the Annual Reports from the years during which your LLC was inactive. You must prepare these Annual Reports and pay the associated fees in order to reinstate your Wyoming LLC.

Send All Forms and Payment to the Secretary of State
In a single package, send your LLC Application for Certificate of Reinstatement, the Change of Registered Agent by Entity form (if applicable), and the Consent to Appointment by Registered Agent (if necessary), and all back Annual Reports.
Include with the forms a check or money order for the associated fees. There is a $100 filing fee to reinstate a Wyoming LLC if your LLC was dissolved because you didn’t file or pay your annual report tax. You can also file the Reinstatement of Tax form online, though doing so requires using a credit card and paying a $2 credit card convenience fee.
If your LLC was administratively dissolved for failing to maintain a registered agent, then you must also pay an additional $350 fine. The Reinstatement for No Registered Agent form cannot be filed online and must be submitted via mail.
You must include payment for all back Annual Reports and any unpaid taxes from those years.

Wait for Approval
Once the Secretary of State receives your documents and payment, they will process your paperwork. Generally, it takes one week to process a reinstatement.
